KUALA LUMPUR (May 29): Seacera Group Bhd group managing director Zulkarnin Ariffin resigned today due to personal reasons and after the tile manufacturer said yesterday the High Court here had dismissed the company's injunction application to restrain a proposed extraordinary general meeting (EGM).

Seacera's earlier Bursa Malaysia filings indicated that the EGM was planned to be held at 3:30pm here today to appoint new directors and remove existing ones. The EGM notice was issued by Datuk Tan Wei Lian, Datin Sek Chian Nee, Jeannie Ooi Chin Nee, Datuk Chan Chee Hong, Low Swee Foong, Liu Zhen and Ong Eng Teik, Seacera said.

Today, Seacera said in separate statements to the bourse that independent non-executive director Halim Ismail had also resigned today due to personal reasons.

Seacera had also announced the appointment of new directors. The list includes Koo Kien Yoon, Ishak Ismail, Datuk Nik Ismail Nik Yusoff, Zamri Mohd Ramli and Mazlan Mohamad.

Prior to Zulkarnin and Halim's resignations today, Seacera had in recent days announced that several former directors had also relinquished their positions.

On Monday (May 27), Seacera announced the resignations of two independent non-executive directors Datuk Seri Abdul Azim Mohd Zabidi and Datuk Seri Azizan Ahmad.

Seacera said Azizan's resignation was "due to unavoidable circumstances and personal reasons" while Abdul Azim's resignation was "due to personal matter".

According to Seacera, Abdul Azim and Azizan had resigned on Friday (May 24) and Saturday (May 25) respectively.

On Tuesday (May 28), Seacera said independent non-executive directors Norhanum Nordin and Rasila Hamzah resigned on that day due to personal reasons.

Seacera also said on Tuesday that High Court Judge Ong Chee Kwan had on that day dismissed the company's injunction application to restrain the EGM with RM25,000 cost.

The dismissal followed Seacera's earlier filing of an originating summons against the EGM notice issuers to declare that the EGM notice dated April 30, 2019 is null and void.

According to Seacera's statement to Bursa Malaysia on May 21, the company had also filed an application to restrain the EGM notice issuers from, among others, taking further steps in respect of the EGM notice.
