KUALA LUMPUR: CIMB Group Holdings Bhd’s independent and non-executive director Datuk Zainal Abidin Putih, 70, has retired, effective on Monday. He was also the group’s audit committee chairman.

In separate filings, CIMB said its independent director Datuk Mohd Nasir Ahmad, 61, had been redesignated as an independent and non-executive director of the group, effective today. He is also replacing Zainal Abidin as chairman of the audit committee.

CIMB also announced that HSBC Amanah Malaysia Bhd and Kumpulan Perangsang Selangor Bhd director Rosely @ Mohamed Ross Mohd Din, 63, had been appointed CIMB’s independent and non-executive director and a member of CIMB’s audit committee.

The boardroom changes came on the heels of CIMB chairman Datuk Seri Nazir Razak’s announcement on Monday that he was taking a voluntary leave of absence amid a probe into banking activities related to Nazir’s personal account.

Zainal Abidin said although Nazir’s decision was contrary to the board’s wishes, the board respected and accepted it.

“Having served alongside Nazir on the board, the members have always been convinced that he upholds the highest standards of corporate governance,” he was quoted as saying in news reports.
