KUALA LUMPUR (Jan 11): Barely three months after appointing two new directors, APFT Bhd has received a fresh requisition from shareholders for an extraordinary general meeting (EGM) to remove the new appointees and three other directors.

The group said shareholders holding an aggregate of more than 10% of APFT’s issued share capital have requested to convene the EGM to table the motions.

APFT is seeking legal advice on the matter, the group said in a filing with the  stock exchange.

The directors named for removal are recently appointed Tengku Shamsulbhari Tengku Azman Shah and Datuk Tan Choon Hwa, as well as Edwin Silvester Das, Tan Sri Zaini Omar and Saiful Azhar Mohd Yusoff.

Shamsulbhari and Edwin are both executive directors of APFT, while Tan and Zaini are independent non-executive directors who were appointed on Oct 3.

Saiful Azhar had been the board’s most recent appointee, assuming the role of independent non-executive director on Oct 17 last year.

Meanwhile, the shareholders proposed the appointment of Jeya Kumar Jegathison, Chan Tiam Hin and Tan Chee Koon as new directors.

In August 2018, 14 shareholders with a combined 12.4% stake had sought to remove and appoint certain directors via a proposed EGM, which has yet to be called.

This was after the group’s annual general meeting in July, at which eight resolutions had not been put forward for voting, and one on the issuing of shares was voted down. The meeting had nearly been called off due to a shareholder’s application for an injunction.
