KUALA LUMPUR (Feb 24): Scan Associates Bhd has finally revealed details about its non-independent and non-executive director Yeoh Eng Kong’s breach of duties as a director of the company.

In a reply to Bursa Securities' query today, Scan said the breach was caused by Yeoh writing to the regulator to seek an extension of time to submit the Practice Note 17 company's regularisation plan without the knowledge of and approval from its board of directors via a letter dated May 16 last year.

"(This was made) even though the majority of the board had decided not to appeal for the extension of time to submit the regularisation plan which he (Yeoh) had full knowledge of the decision," Scan added.

Yeoh was thus suspended from the company's board on Sept 9 last year for breach of his duties for an initial two-month period amid an internal investigation.

The suspension period was later extended thrice, once on Nov 9 and then on Dec 9 to give Scan’s investigative committee more time to gather additional evidence and information before making its conclusion. On Feb 8 this year, Scan once again announced that it would extend Yeoh’s suspension to March 8 as the committee required more time to analyse and conclude its case against Yeoh.

In a filing with Bursa Malaysia on Tuesday, Scan said Yeoh had been allowed to resume his role on Feb 17. The company will also not take any further action against Yeoh as it deemed his suspension period as "adequate" and "serve the purpose".    

Trading in Scan has been suspended since May last year pending its delisting, which has since been deferred until further notice due to the court proceedings between Scan and Yeoh.

According to a filing by the ICT solutions provider on Feb 3, it has received an extension until May 31, 2017 to submit its regularisation plan.
