KUALA LUMPUR (Oct 3): APFT Bhd has appointed Datuk Tan Choon Hwa and Tan Sri Zaini Omar as new non-executive directors effective today.

The appointments came nearly two months after the latest boardroom tussle in the flight training academy operator in August, when 14 shareholders with a combined 12.4% stake sought to remove and appoint certain directors via a proposed extraordinary general meeting (EGM).

The EGM has yet to be conducted. APFT, in its filings today, said that further developments will be announced in due course.

“Datuk Tan Choon Hwa is a businessman with more than 20 years of experience in various industries such as timber, hotel resort, housing, land development and finance investment holding,” the group said.

Tan will also chair APFT’s remuneration committee, while Zaini will chair the nomination committee, it added.

Tan, 61, is founder and executive chairman of TCH Group. He also serves as executive director in SMTrack Bhd, where he remained as the single largest shareholder with 12.7% despite having pared down some stake in July and August.

He is also on the board of several other companies, including Ni Hsin Resources Bhd and MGB Bhd.

“Currently he acts as business advisor to China Sino Wall Group and Aladdin Group,” APFT said.

Meanwhile, Zaini, 69, has served as a head in a department within the Economic Planning Unit between 2006 and 2009.

Prior to that, he was chairman of National Water Management Commission (SPAN) from 2005 to 2006.

He also held numerous top posts in the public sector, including in the Department of Civil Aviation.

APFT board members also include executive directors Edwin Silvester Das and Tengku Shamsulbhari Tengku Azman Shah.

APFT’s shareholders have been involved in a tussle with its board after its annual general meeting in July was nearly called off due to a shareholder’s application for an injunction.

The application was dismissed by the High Court. APFT’s latest chairman and two non-executive directors subsequently announced their retirement on July 26.
